Welcome to Billspot! These Terms and Conditions ("Terms") govern your use of our digital transaction platform, available at https://www.billspot.co (the "Site"), mobile applications, and all related services provided by Billspot Limited ("Billspot," "we," "us," or "our").

By accessing or using the Site and Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

1. Definitions

• Account: Your registered user profile on the Billspot platform.
• User, you, your: Any person or entity accessing or using the Site or Services.
• Services: The digital transaction services including airtime purchases, data subscriptions, wallet management, airtime-to-cash conversion, bill payment, and any other features made available on our platform.
• Wallet: The electronic account maintained by Billspot for storing funds in connection with your Account.
• Transaction: Any airtime purchase, bill payment, data subscription, or conversion action initiated by you via our platform.
• Platform: Collectively refers to our website, mobile applications, and any other software or interfaces we provide.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By registering for an Account, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in that case, "you" and "your" will refer to that entity.

3. Account Registration and Security

1. Registration: To access certain features, you must register for an Account by providing accurate, current, and complete information. We may verify your identity through various means, including phone verification or official identification documents.
2. Credentials: You are responsible for maintaining the confidentiality of your username, password, and any other account credentials. You agree to notify us immediately at security@billspot.co of any unauthorized use of your Account or any other security breach.
3. Account Liability: You are solely responsible for all activities that occur under your Account. Billspot will not be liable for any loss or damage arising from your failure to protect your login credentials or from unauthorized access to your Account.
4. One Account Per User: You may maintain only one active Account. Multiple Accounts registered by the same individual may be suspended or terminated at our discretion.

4. Services and Transactions

• Scope of Services: Billspot provides an online platform for the following services:
  • Airtime Purchases: Buy airtime for yourself or others across all major networks in Nigeria including MTN, Airtel, Glo, and 9mobile.
  • Data Bundles: Purchase internet data plans at competitive rates for all major telecommunications providers.
  • Bill Payments: Pay electricity bills (PHCN/NEPA), water bills, TV subscriptions (DSTV, GOTV, StarTimes), and other utility bills.
  • Airtime-to-Cash Conversion: Convert your excess airtime to cash with competitive rates and fast processing.
  • Wallet Management: Store funds securely in your Billspot wallet for quick transactions.
  • Money Transfers: Send money to friends, family, and businesses directly to their bank accounts or mobile wallets.
• Transaction Processing: All Transactions are subject to network availability, processing times, and third-party service provider terms. We do not guarantee uninterrupted or error-free performance of the Services. Most transactions are processed instantly, but some may take up to 24 hours depending on network conditions and third-party systems.
• Transaction Limits: We may impose limits on the amount or number of Transactions you can perform. These limits may be adjusted based on your account history, verification level, and other factors. Current standard limits are:
  • Daily transaction limit: ₦500,000
  • Single transaction limit: ₦100,000
  • Monthly transaction limit: ₦5,000,000
  Higher limits may be available upon request and additional verification.
• Transaction Fees: We may charge fees or commissions for Transactions. All fees will be clearly displayed at the time of the Transaction. Fee structures may change from time to time, with notice provided through our platform. For airtime-to-cash conversions, the applicable conversion rate will be displayed before you confirm the transaction.
• Transaction Verification: We may require additional verification for certain high-value Transactions or if we detect unusual activity on your account. This may include OTP (One-Time Password) verification, BVN validation, or additional identity confirmation.
• Service Availability: While we strive to maintain 24/7 availability of our services, we may occasionally need to perform maintenance or updates that may temporarily affect service availability. We will make reasonable efforts to notify users of planned maintenance in advance.

5. Payment and Wallet Management

• Funding Wallet: You may fund your Wallet by debit/credit card, bank transfer, USSD, or other payment methods we support. All payments are processed through secure payment processors. The minimum wallet funding amount is ₦100, and funds are typically reflected in your wallet instantly, though bank transfers may take up to 24 hours to process.
• Wallet Balance: Your Wallet balance is reflected in your Account. Billspot is not a bank and does not hold your funds in a fiduciary capacity. Funds in your Wallet are not insured deposits and do not earn interest. We maintain segregated accounts for user funds to ensure they are protected.
• Refunds: Refunds for failed or canceled Transactions will be credited back to your Wallet within 5–10 business days, subject to our Refund Policy. For certain payment methods, refunds may be processed to the original payment source. Failed utility bill payments are typically refunded within 24-48 hours, while airtime and data refunds may take 3-5 business days depending on the network provider.
• Wallet Withdrawals: You may withdraw funds from your Wallet to your registered Nigerian bank account. Withdrawal requests are typically processed within 1-3 business days but may take longer depending on banking systems and verification requirements. A small withdrawal fee may apply as displayed at the time of withdrawal.
• Unauthorized Transactions: You must notify us immediately at security@billspot.co if you believe there has been an unauthorized transaction or error related to your Wallet. Failure to notify us within 30 days of the transaction may limit our ability to investigate and resolve the issue.
• Transaction Records: We maintain records of all transactions for a minimum of 7 years. You can access your transaction history through your account dashboard for up to 12 months. For older transaction records, you may submit a request to our customer support team.

6. Intellectual Property

All content, branding, logos, software, designs, and interfaces on the Platform are the intellectual property of Billspot or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

By using our Services, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms.

7. User Conduct and Prohibited Activities

You agree not to:

• Illegal Activities: Use the Platform for any unlawful or fraudulent purposes.
• Security Violations: Interfere with the security or integrity of the Platform or its Services, including attempting to probe, scan, or test the vulnerability of our systems.
• Unauthorized Access: Attempt to gain unauthorized access to other accounts, computer systems, or networks connected to our Platform.
• Harmful Code: Transmit viruses, malware, or other harmful code that could damage or disrupt our systems or services.
• Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of our software.
• Content Restrictions: Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Impersonation: Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

Violation of these prohibitions may result in immediate termination of your account, legal action, and reporting to relevant authorities.

8. Limitation of Liability

To the maximum extent permitted by law, Billspot and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Services, including but not limited to:

• Lost profits, revenue, or data
• Business interruption
• Cost of substitute services
• Personal injury or property damage
• Any other damages or losses

Our total liability for any claim arising from or relating to these Terms or your use of the Services shall not exceed the greater of: (a) the amount you paid to Billspot for the Services during the three (3) months prior to the claim; or (b) NGN 10,000.

These limitations will apply regardless of the theory of liability, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Billspot, its affiliates, and its respective officers, directors, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees), or demands arising out of or related to:

• Your breach of these Terms
• Your use of the Services
• Your violation of any law or the rights of a third party
• Any content or information you submit, post, or transmit through the Services

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

10. Termination

We reserve the right to suspend or terminate your Account and access to the Services at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms
• Conduct that we believe is harmful to other users, our business, or third parties
• Suspected fraudulent, abusive, or illegal activity
• Extended periods of inactivity

Upon termination:

• Your right to access and use the Services will immediately cease
• We may delete or retain your Account information and content as required by law or for legitimate business purposes
• Any outstanding obligations (including payment obligations) will survive termination

You may terminate your Account at any time by contacting our customer support. Termination of your Account does not relieve you of any obligations incurred prior to termination.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising under or in connection with these Terms will first be attempted to be resolved through good-faith negotiations. If such negotiations fail, the dispute will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Notwithstanding the foregoing, Billspot may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights and interests.

12. Changes to Terms

We may revise these Terms at any time by posting the updated Terms on the Platform with a new "Last updated" date. We will make reasonable efforts to notify you of material changes through the Platform or via email.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of those changes. If you do not agree with the revised Terms, you must stop using the Services.

It is your responsibility to review these Terms periodically to stay informed of updates.

13. Data Protection and Privacy

Your privacy and data protection are important to us. Our collection, use, and processing of your personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms.

By using our Services, you consent to our collection, use, and processing of your personal information as described in our Privacy Policy. You can access our Privacy Policy at https://billspot.co/policy.

We implement reasonable security measures to protect your personal information. However, no method of transmission over the internet or electronic storage is completely secure. We cannot guarantee absolute security of your data.

14. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Billspot regarding your use of the Services and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Force Majeure: We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, terrorism, riots, war, epidemics, power failures, and government actions.
